These Terms of Service (“Terms”) govern your access to and use of Scrip, operated by TKOResearch LLC (“Scrip,” “we,” “us”). By creating an account or using the API you agree to these Terms.
1. The service
Scrip is a prepaid broker for AI inference. You buy credits in advance and call an OpenAI-compatible API; we forward requests to an upstream model provider under our own credentials, meter the cost, and debit your balance. Available models and their prices are published and may change.
2. Accounts
You sign in with a one-time email code. You are responsible for your account, your API keys, and all activity under them. Keep your keys secret; you can revoke and rotate them at any time. Notify us promptly of any unauthorized use.
3. Credits and billing
- Credits are purchased in advance via Stripe (card) or a supported crypto method, and are drawn down as you use the API.
- We bill the upstream provider’s metered cost plus a stated margin. The dashboard shows both.
- Credits are non-transferable between accounts. Except where required by law, prepaid credits are non-refundable; unused credits do not expire unless your account is closed.
- We do not bill for a failed generation.
4. Acceptable use
You may use Scrip only for lawful purposes and only for activity you are authorized to perform. You agree not to, and not to let your users:
- use the service to access, probe, scan, or interfere with any system, network, or account without the owner’s authorization;
- generate malware, or content that infringes, defames, or violates others’ rights or applicable law;
- violate the acceptable-use terms or model terms of any upstream provider or model, which pass through to you;
- resell or sublicense the service except as expressly permitted in writing.
You are responsible for your users’ compliance. We may suspend a key or account that we reasonably believe is violating these Terms.
5. Privacy
Our handling of your data is described in the Privacy Policy, which forms part of these Terms. In short: we keep the minimum needed to bill you, we do not retain the content of your requests, and we disclose information only when compelled by valid legal process.
6. Availability and changes
We aim for high availability but do not guarantee uninterrupted service. Upstream providers, models, and prices may change or be withdrawn. We may modify the service and these Terms; material changes will be posted here with a new effective date.
7. Disclaimers
The service is provided “as is.” Model outputs may be inaccurate or unsuitable; you are responsible for evaluating them before relying on them, including for any regulated, high-risk, or customer-facing use. We disclaim warranties to the fullest extent permitted by law.
8. Limitation of liability
To the maximum extent permitted by law, neither party is liable for indirect, incidental, or consequential damages. Our aggregate liability arising out of the service is limited to the amount of credits you purchased in the three months before the claim.
9. Termination
You may stop using the service and close your account at any time. We may suspend or terminate access for breach of these Terms. On closure we delete what we hold, subject to any legal retention obligation.
10. Governing law
These Terms are governed by the laws of the Commonwealth of Virginia, without regard to conflict-of-laws rules. Disputes are subject to the state and federal courts located in Virginia.
